These Terms of Service ("Terms") govern your use of the services provided by exactpathprois AS ("Company", "we", "our", or "us"), a Norwegian company with registration number 857439182, located at Bygdøy allé 127, 0138 Oslo, Norway.

By engaging our services or accessing our website, you agree to be bound by these Terms. If you do not agree with any part of these terms, you may not use our services.

Acceptance of Terms

Service Description

exactpathprois provides business analytics infrastructure setup services, including but not limited to:

• Data infrastructure design and implementation
• Business intelligence system deployment
• Cloud analytics platform integration
• Data governance and security framework implementation
• Training and support services
• Ongoing maintenance and optimisation

Specific services will be detailed in individual service agreements or statements of work.

User Obligations

When using our services, you agree to:

• Provide accurate and complete information as required for service delivery
• Cooperate with our team and provide necessary access to systems and data
• Comply with all applicable laws and regulations
• Maintain the confidentiality of any login credentials or access information provided
• Use our services only for lawful business purposes
• Not interfere with or disrupt our services or systems
• Notify us promptly of any unauthorised use of your account or security breaches

You are responsible for ensuring that your use of our services complies with all applicable laws, regulations, and industry standards relevant to your business.

Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise agreed:

• Invoices are payable within 30 days of the invoice date
• All fees are exclusive of applicable taxes, which are your responsibility
• Late payments may incur interest charges as permitted by law
• We reserve the right to suspend services for non-payment

Intellectual Property

All intellectual property rights in our services, including software, methodologies, documentation, and proprietary processes, remain the exclusive property of exactpathprois or our licensors.

We grant you a limited, non-exclusive, non-transferable licence to use any software or materials provided as part of our services solely for your internal business purposes and in accordance with the terms of your service agreement.

You retain ownership of your data and any intellectual property you provide to us. By engaging our services, you grant us a licence to use your data solely for the purpose of providing the agreed services.

Any custom solutions developed specifically for you will be subject to separate intellectual property terms outlined in your service agreement.

Confidentiality

Both parties acknowledge that they may have access to confidential information during the course of the business relationship. Each party agrees to:

• Maintain the confidentiality of all confidential information
• Use confidential information solely for the purposes of the service relationship
• Not disclose confidential information to third parties without prior written consent
• Return or destroy confidential information upon termination of the relationship

Data Protection

We are committed to protecting your personal data and privacy. Our collection, use, and processing of personal data is governed by our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR).

Where we process personal data on your behalf as part of our services, we will act as a data processor and comply with your lawful instructions as the data controller.

Service Availability

While we strive to provide reliable services, we cannot guarantee uninterrupted availability. We reserve the right to suspend or modify services for maintenance, updates, or other operational reasons.

We will make reasonable efforts to provide advance notice of planned maintenance that may affect service availability.

Limitation of Liability

To the maximum extent permitted by law, exactpathprois shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with our services.

Our total liability for any claims arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to exactpathprois in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

Indemnification

You agree to indemnify and hold harmless exactpathprois from any claims, damages, losses, or expenses arising from your use of our services in violation of these Terms or applicable law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Norway, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Oslo, Norway.

If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence.

Termination

Either party may terminate the service relationship by providing written notice as specified in the individual service agreement.

We may terminate or suspend your access to our services immediately if you breach these Terms or engage in any conduct that we reasonably believe is harmful to our business or other users.

Upon termination:

• All rights and licences granted to you will immediately cease
• You must cease all use of our services and return or destroy any confidential information
• Any outstanding fees will become immediately due and payable
• Provisions that by their nature should survive termination will continue in effect

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or government actions.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be replaced by a valid provision that most closely reflects the intent of the original provision.

Entire Agreement

These Terms, together with our Privacy Policy and any individual service agreements, constitute the entire agreement between you and exactpathprois regarding the subject matter hereof and supersede all prior agreements and understandings.
